The subject matter of this research (dissertation)
is “Technology Transfer” as an essential process and a basic tool for
technology development at the level of industrial entities. Accordingly,
the main questions of the research are the followings:
1- What are the principles of technology
transfer agreement?
2- What are the structure, substance, and
effects of licensing agreement as the main technology transfer agreement
and the most famous between them?
We have determined three research theories in order
to respond to the main questions:
I. Technology has a distinguished and
specific substance which can be particularly and legally qualified.
II. The type and terms of a technology transfer
agreement depends, in addition to the laws of the countries involved, on
two variables: 1- The type and level of the technology which is the
subject of technology transfer agreement, 2- The frame of technology
transfer agreement in relation to objectives of involved entities and
their technology development plans.
III. The most basic technology transfer
agreement is “Licensing” which has a specific and different substance in
comparison with other specific contracts.
For the purpose of answering the two main questions
and establishing the three above mentioned research theories, in part
one, the concept of technology and its characteristics, the concept of
technology transfer process and the legalities of technology transfer
agreements have been studied. Then, in part two, we have surveyed,
analytically, the licensing agreement as the most basic and famous
technology transfer agreement.
We have endeavored to make use of needed and related
technology management discussions in order to have an interdisciplinary
analysis of the subject matter
